Terms of Service

These terms govern your use of Underground. Please read them carefully — they cover accounts, bookings, payments, payouts, safety tools, liability, and more.

1. Acceptance of Terms

Welcome to Underground ("Underground," "we," "us," or "our"). By creating an account, accessing, browsing, or using our website, mobile applications, and any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree with all of these Terms, you must not access or use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

These Terms apply to all visitors, users, and others who access or use the Services, including fans, creators (artists), and providers (venues, studios, videographers).

2. Definitions

"User" means any individual or entity who registers for or uses the Services.

"Creator" means an independent musician or artist who lists a profile and may be available for bookings.

"Provider" means a venue, studio, or videographer who posts shows, services, or listings on the platform.

"Fan" means a user who discovers shows, purchases tickets, or books creators and services.

"Listing" means any show, artist profile, studio, or videographer profile posted on the Services.

"Booking" means a request or reservation made through the Services, including show bookings, artist bookings, ticket purchases, and service bookings.

"Content" means all text, images, audio, video, links, and other materials posted or transmitted through the Services.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Services. By registering, you represent and warrant that you are of legal age and that the information you provide is accurate and complete.

You may not use the Services if you have previously been removed or banned, or if you are prohibited from receiving our Services under applicable law.

4. Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You must provide accurate, current, and complete information during registration and keep it updated. We may suspend or terminate accounts that contain false, misleading, or fraudulent information.

One person or entity may not maintain more than one account at a time, and accounts may not be transferred or sold without our permission.

5. User Roles & Responsibilities

Fans may browse listings, purchase tickets, and submit booking requests for creators and services.

Creators may create artist profiles, accept or decline booking requests, and manage their availability. Creators are responsible for fulfilling any confirmed engagement.

Providers may post shows, studios, and videographer listings, manage bookings, and process ticket sales. Providers are responsible for the accuracy of their listings and the conduct of their events.

All Users agree to act in good faith and communicate honestly when arranging bookings through the Services.

6. Listings & Content

You are solely responsible for the Content you post, including listings, profiles, images, messages, and any other materials. You represent that you own or have the necessary rights to all Content you submit and that it does not violate any law or third-party right.

We do not verify the accuracy of listings or Content and do not guarantee the quality, safety, or legality of any booking, show, service, or User. You use the Services at your own risk.

Prohibited Content includes, but is not limited to: illegal, fraudulent, infringing, harassing, hateful, threatening, sexually explicit, violent, or misleading content; spam; or content that impersonates another person or entity. Content that is offensive, discriminatory, or derogatory toward any person or group based on race, ethnicity, national origin, religion, sexual orientation, gender, gender identity, disability, age, or any other protected or personal characteristic is also prohibited.

We reserve the right to remove any Content or listing at any time, without notice, if we believe it violates these Terms or applicable law.

7. Bookings & Transactions

The Services facilitate bookings between Users but are not a party to any agreement between a Fan, Creator, or Provider. Any contract formed is solely between the relevant Users.

Ticket purchases, show bookings, artist bookings, and service bookings are subject to the terms, pricing, and availability set by the listing owner. Prices are displayed at the time of booking and may change without notice.

Confirmations of booking requests are not guarantees. A booking is only confirmed when the relevant Creator or Provider accepts it through the Services and, where applicable, payment is successfully processed.

Users are responsible for reviewing all booking details before submitting a request or payment. Once a transaction is completed, refund eligibility is determined by the listing owner and these Terms.

8. Payments & Payouts

Payments are processed through our third-party payment processor, Stripe. By making a payment, you agree to Stripe's terms and authorize us to charge the designated payment method for the full amount of your transaction, including any applicable taxes and fees.

Creators and Providers may receive payouts through Stripe Connect. To receive payouts, you must complete Stripe's identity verification and onboarding. We are not responsible for delays or failures caused by Stripe or incomplete account setup.

Fees. In addition to the listed price set by the Creator or Provider, Underground charges the following fees on paid bookings, all of which are itemized and shown to you at checkout before you pay:

Buyer fee: 10% of the listed price (subtotal), charged to the buyer on every paid booking.

Stripe processing fee: an estimate of Stripe's per-transaction processing cost (approximately 2.9% + $0.30), charged to the buyer on every paid booking so that Underground does not absorb card-processing costs. The exact amount is shown at checkout.

Provider fee: 15% of the listed price (subtotal), deducted from the Creator's or Provider's payout on every paid booking. Buyers do not pay this fee directly; it reduces the amount the provider receives.

For example, a $20 ticket costs $20.00 (listed price) + $2.00 buyer fee + $0.97 Stripe processing fee = $22.97 at checkout, and the show host receives $17.00 of the $20.00 listed price after the 15% provider fee.

Free shows and free tickets incur no fees. Creators and Providers set their own listed price; the buyer fee and Stripe fee are added on top for the buyer, and the provider fee is taken from the provider's payout.

We reserve the right to change our fee structure upon reasonable notice. The fees in effect at the time of your transaction are those displayed at checkout.

All transactions are denominated in the currency displayed at checkout. You are responsible for any taxes associated with your transactions.

We may withhold, suspend, or reverse any payment or payout if we suspect fraud, violation of these Terms, or a dispute, pending investigation.

9. Refunds, Cancellations & Disputes

Cancellation and refund policies may vary by listing and are set by the listing owner unless overridden by applicable law. Where a listing does not specify a policy, refunds are at the sole discretion of the listing owner.

If an event is cancelled by the Provider, ticket holders will generally be entitled to a refund of the ticket price. We are not liable for ancillary costs such as travel or accommodation.

Disputes between Users should first be addressed directly between the parties. We may, in our discretion, assist in resolving disputes but have no obligation to do so.

Chargebacks initiated in bad faith or in violation of these Terms may result in account suspension.

10. Blocking & Safety Tools

The Services provide a blocklist feature that allows Users to prevent specific other Users from contacting them, booking them, or purchasing their listings.

Using the blocklist in a manner that discriminates against Users based on protected characteristics may violate applicable law and these Terms.

While we provide safety tools, we cannot guarantee that all interactions will be safe. Users should exercise caution when arranging in-person meetings or sharing personal information.

11. Intellectual Property & License to Us

Underground and its original content, features, and functionality are owned by us and protected by international copyright, trademark, and other laws.

By posting Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, modify, display, and otherwise exploit that Content in connection with operating and promoting the Services.

You retain ownership of your Content. This license survives until you remove your Content, except where Content has been shared by others in accordance with the Services' functionality.

You may not copy, modify, distribute, or create derivative works of our brand assets without prior written consent.

12. Prohibited Conduct

You agree not to: misuse the Services, interfere with its security, scrape or reverse engineer any part of it, use it for unlawful purposes, attempt to gain unauthorized access to our systems, transmit viruses or malware, circumvent our fee or payment systems, or resell access to the Services.

You also agree not to harass, defame, or harm other Users, or to use automated systems (bots, crawlers) to access the Services without our permission.

You agree not to engage in offensive, discriminatory, or hateful actions or language toward any person on or through the Services. This includes slurs, demeaning remarks, harassment, or biased treatment based on race, ethnicity, national origin, religion, sexual orientation, gender, gender identity, disability, age, or any other protected or personal characteristic, whether directed at other Users, attendees, staff, or the public.

We do not tolerate discrimination in how Listings are priced, offered, accepted, declined, or communicated about, nor in the use of the blocklist or any other feature. A violation may result in removal of Content, cancellation of bookings, and immediate suspension or termination of your account.

Violations, including offensive or discriminatory conduct, may result in an immediate ban, suspension, or termination of your account and may be reported to authorities.

13. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that any booking, event, or payout will be completed as described. All Users rely on the Services at their own risk.

We are not responsible for the conduct, statements, or actions of any User, or for any harm arising from interactions that occur on or off the platform.

14. Limitation of Liability

To the fullest extent permitted by law, Underground and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Services.

Our aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you have paid us through the Services in the six months preceding the event giving rise to the liability, or one hundred U.S. dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Underground and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your Content, your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

16. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described therein.

17. Communications

By creating an account, you consent to receive communications from us, including transactional emails, booking notifications, and service announcements. You may opt out of non-essential communications through your account settings or by following unsubscribe instructions.

18. Third-Party Services

The Services integrate with third parties such as Stripe (payments), email providers, and social platforms. We are not responsible for the practices or content of these third parties, and your use of them is governed by their own terms and policies.

19. Termination & Suspension

We may suspend or terminate your account and access to the Services at any time, without notice, for any reason, including violation of these Terms, fraudulent activity, or if we believe your conduct causes harm to us, other Users, or third parties.

You may close your account at any time. Upon termination, all licenses granted to you cease, but your Content may remain visible where shared or as required by law. Provisions that by their nature should survive termination (including payment obligations, intellectual property, liability, and dispute provisions) will remain in effect.

When you delete your account, your personal information — including your profile, listings, bookings, and transaction records — is securely archived in a protected, access-controlled archive before your account is permanently removed. We retain this archived data only as long as necessary to comply with legal, accounting, and dispute-resolution obligations, after which it is permanently destroyed. Access to the archive is restricted to authorized administrators, and archived records are used solely for compliance, record-keeping, and resolving disputes — never for marketing or resale.

20. Changes to These Terms

We may revise these Terms at any time. The most current version will always be posted on the Services with the "Last updated" date. Material changes will be communicated through the Services or by other reasonable means.

Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.

21. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Underground operates, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Services shall first be attempted to be resolved informally. If unresolved within sixty (60) days, the dispute shall be submitted to binding arbitration in that jurisdiction, except where prohibited. You waive any right to participate in a class action.

22. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right.

These Terms constitute the entire agreement between you and Underground regarding the Services and supersede all prior agreements. You may not assign these Terms without our consent; we may assign them freely. No joint venture, partnership, or agency relationship is created by these Terms.

23. Taxes & Tax Reporting

Service Providers (Hosts, Engineers, Videographers) are independent contractors and are not employees or partners of Underground. Providers are solely responsible for determining, collecting, reporting, and remitting all applicable federal, state, and local income taxes, self-employment taxes, or other tax liabilities incurred from payouts received through the Platform. Stripe will issue IRS Form 1099-K to Service Providers where required by law.

Creators (artists) are likewise independent contractors and are not employees or partners of Underground. Creators are solely responsible for determining, collecting, reporting, and remitting all applicable federal, state, and local income taxes, self-employment taxes, or other tax liabilities incurred from any payouts, booking fees, or payments received through the Platform. Stripe will issue IRS Form 1099-K to Creators where required by law.
